Regulatory Compliance: We perform compliance and risk reviews in both regulated (such as energy, insurance, banking and telecommunications as well as capital markets) and non-regulated industries to ensure that these institutions comply with all legal and regulatory requirements that govern the sector in which they operate. We issue watch notices and reviews with respect to both present and newly-passed legislation, conduct training sessions for our clients to promote mitigation of legal risk and offer transactional services where legal process is required to achieve compliance.

Our practices work in an integrated manner to advise clients who are involved in international business transactions or operations to help manage associated risks, ensure legal compliance, and limit liability through the litigation of related disputes. These risks include those related to anti-corruption and bribery and corporate social responsibility.

Telecommunications:: Our telecommunications practice is built on in-depth, specialist knowledge of the regulatory, commercial and transactional aspects of telecommunications law. We have acted on a wide range of telecommunications mandates for clients. These include regulatory compliance obligations, complex regulatory matters concerning licensing and business issues such as mobile telephone banking, business viability studies and due diligence, major network infrastructure deployments, mergers and acquisitions, telecommunications finance, tax, passive infrastructure transactions and dispute resolution. We currently act for Uganda’s largest telecommunications operator and taxpayer, whom we advise on sensitive, high-level regulatory and corporate affairs.

Insurance:: Our insurance sector expertise covers insurance regulation, insurance contract law, intermediaries in insurance, insurance company law and disputes arising out of the contract of insurance. We advise local and multi-national insurance companies on an expansive range of legal and regulatory matters, as well as transactional mandates. Specialist matters include insurance sector regulation, claims assessment, insurance policies review, bancassurance and general insurance litigation. Auxiliary matters include providing advice on commercial contracts (including reinsurance agreements), software and information technology, corporate finance, company law and corporate governance, corporate taxation, mergers and acquisitions, real estate, employment law, and corporate immigration. In insurance fraud defence, we successfully acted for UAP-Old Mutual Insurance Company in a landmark fraud matter (faking of death) before the Commercial Court. We are retained as external counsel by the three leading insurance companies in Uganda.

Company Law and Corporate Finance: We advise directors, shareholders and in-house legal counsel on a range of company law and corporate finance matters. These include share capital, equity and debt capital, shareholder rights, status of directors’, directors’ liabilities and responsibilities and corporate governance. We also provide company secretarial services, and currently act as company secretary to a publicly-traded tobacco group, a financial institution, two insurance companies, a leading private hospital and several other private sector concerns.

Distribution, Agency and Franchising: We advise local and multinational organisations on the key contractual aspects that are relevant to commercial agency, distribution and franchising: licensing of the exploitation of intellectual property rights by the franchisee, restraint of trade and other related restrictions, relationship of the parties and indemnification provisions, business image and operating standards, tax considerations, termination and other relevant matters such as partner due diligence and contentious proceedings.

Technology:: Our information and communications technology (ICT) team provides advice on ICT contracts and contract management, software licensing, distribution, intellectual property issues and tax issues relevant to the procurement of ICT equipment. Multinational telecommunications, media and technology clients also rely on us for full-service legal advice in the areas of mergers and acquisitions, joint ventures, regulatory issues and major commercial contracts with customers and suppliers.

Intellectual Property:: Our intellectual property practice conducts registrations and renewals of various intellectual property rights (trademarks, patents and industrial designs) at the Uganda Registration Services Bureau. We provide legal services along the entire breadth of the registration chain, including prosecuting and defending objections and oppositions. We act as intellectual property counsel in Uganda to an international tobacco group, East Africa’s leading gourmet restaurant chain and Africa’s leading specialist international intellectual property law firm.
