Winnie Kyomuhendo’s corporate practice covers corporate and commercial law, M&A, private equity and capital markets. She advises local and multinational entities and financial institutions, as well as international counsel, on legal, regulatory, financing and transactional mandates.
In highlight transactional matters in equity capital markets, Winnie advised a publicly-traded financial services group on a rights issue, and acted for a regional insurer on a landmark and first-of-its-kind US$ 2.5 million public offer of securities to a targeted market (savings and credit co-operative societies in Uganda). Winnie also advised the Uganda Securities Exchange on its demutualization.
In corporate M&A, Winnie advised dfcu Bank for its purchase of the assets and assumption of liabilities of Crane Bank Limited, acted for a regional gourmet restaurant chain on an equity acquisition and business restructuring and advised a multinational media and digital marketing communications company in its acquisition of a local agency.
In advisory work, Winnie acts for a regional insurer and a global tobacco company on a variety of corporate matters: corporate finance, corporate governance, commercial contracts and compliance and risk
She is a member of the Uganda Law Society and the East African Law Society.
