Banking and Finance
Sebalu & Lule has one of the largest banking practices in Uganda and this forms one of the biggest areas of our transactional docket. We render advisory on retail banking, debt finance, syndicated lending, acquisition finance, asset finance, trade finance, Islamic banking, banking regulation and capital adequacy, micro-finance and banking litigation. We are currently retained as legal counsel for five commercial banks and two regional development banks conducting business in Uganda. We continue to execute instructions as local counsel to leading financial institutions across the world.
In 2010, Sebalu & Lule received special recognition from Standard Chartered Bank Uganda for providing legal services to the institution for 30 uninterrupted years (see caption story under news section).
Recent transactions include:
- Legal and transaction advisor to a leading financial institution for a US$ 23 million trade finance facility to a market leading commodity and logistics entity.
- Legal advisor to the issuing bank, a leading financial institution, for the issue of a letter of credit with respect to the grant of a US$ 10 million trade finance facility for the purchase of a fleet of buses.
- Advised a leading domestic commercial bank on the roll-out of its insurance premium financing programme.
- Advised a regional trade and development bank on two loan facilities, includuing the conduct of a due diligence on the borrowers, in the aggregate sum of US$ 17.5 million to two leading regional companies; an insurance group and a steel manufacturing company.
- Local counsel in association with DLA Cliffe Dekker Hofmeyr to the lender, a leading South African commercial bank, on all legal and securitization aspects of a US$ 38 million trade finance facility to a cross-jurisdictional wheat processing company.
- Legal advisor for a novel facility between a regional bank and a domestic commercial bank that involved the placing of a charge on government treasury bills.
- Legal advisor to a regional development bank on all legal and securitization aspects for three term-loan facilities with an aggregate value of US$ 27 million to leadings plastic manufacturing, sugar processing and telecommunications companies.
- Legal advisor for the lenders (including the International Finance Corporation) on a US$ 10 million loan to a private entity in Uganda for the redevelopment of a prime commercial property in the capital city
- Legal advisor for a US$ 12 million limited recourse facility involving a leading French development financial institution lending to a local commercial bank for onward lending to a Government parastatal.
- Legal advisor to a South African commercial bank on the legal aspects of a future-flow financing in Uganda.
- Legal advisor and local counsel for a US$ 38 million syndicated loan facility to a leading telecommunications company.
- Retained as legal advisor to six commercial banks operating in Uganda with respect to their domestic lending and securitization.
