Our expertise includes general project finance advisory, drafting and review of security documents, due diligence on the Borrower, review of facility agreements and perfecting securities.  The firm is also retained as Ugandan Law Contributor to the world's leading project finance guide, International Project Finance and PPPs: A Legal Guide To Key Growth Markets (2011) published by Kluwer Law International.

Recent notable transactions include:

  • Legal advisor to the borrower in a US$ 35 million facility from a leading commercial bank to finance the borrower’s expansion of its thermal electricity plant from 30MW to 50MW. This was the first wholly locally financed energy project in Uganda.

  • Local counsel in association with Linklaters for the US$ 25 million additional financing by the lenders, two global development financial institutions, to the Bujagali II hydro-power dam developer.

  • Local counsel in association with Linklaters for the US$ 4 million additional financing by the lenders, two continental development financial institutions, to the Buseruka hydro-power dam developer.

  • Local counsel to a consortium of Egyptian developer with respect to their proposed investment in the Kalagala hydro-power project.

  • Legal advisor to an international thermal power supplier and independent power producer on a US$ 174 million thermal supply transaction with the Government of Uganda.

  • Local counsel in association with Linklaters to the lenders led by a continental development financial institution for a US$ 9 million project finance facility to the developer of the Buseruka hydro-power dam.

  • Local counsel in association with Linklaters to the lenders, a consortium of 11 development and commercial financial institutions, for the development of the US$ 700 million Bujagali II hydro-power project, Uganda’s largest ever energy and infrastructure project.

  • Legal advisor to a leading financial institution for a project finance facility to an American power producer for the constitution and development of the Bujagali I hydro-power project (broken deal).

Public-Private Partnerships
Sebalu & Lule has also developed significant expertise in public-private partnerships (PPPs). We render advice on several key aspects related to PPPs, notably the choice and design of PPP models, legal compliance and risk matrices, PPP procurement and project financing.

Sebalu & Lule acted as PPPs advisor to Deloitte Consulting, USA, a world leading management and projects consultancy firm, in its review of Uganda's proposed PPP legislation in a USAID-funded feasibility study on the proposed creation of an in-country infrastructure fund.
