Capital Markets


The Uganda Securities Exchange (USE) has been an area of increased activity over the past decade (in 2010, the USE recorded a 40.7% jump in the All-Share Index) and Sebalu & Lule has played lead legal advisory roles.  The firm possesses capabilities in initial public offerings (IPOs), cross-listings, rights issues, corporate bond issues and in secondary market transactions.

Notable transactions include:

  • Legal advisor for the UGX 40 billion (approximately US$ 18 million) medium-term bond issue by Standard Chartered Bank Uganda in 2010, a fully bought-out corporate bond.

  • Co-legal advisor with Iseme, Kamau & Maema Advocates of Kenya for the cross-listing of the Nation Media Group, East and Central Africa’s largest media house, on the Uganda Securities Exchange in 2010.

  • Uganda legal advisors for the UGX 54 billion (approximately US$ 22 million) secured medium term note programme issue by Uganda Telecom in 2006.

  • In consultancy work, Sebalu & Lule acted as capital markets advisor to Deloitte Consulting, USA in the conduct of a USAID-funded feasibility study on the creation of an in-country infrastructure fund. The firm advised on all aspects that will relate to the proposed private placement(s) and infrastructure bond programme for the fund

  • In advisory work, Sebalu & Lule is advising power-generating company on the proposed financing of an energy infrastructure project through the issue of a corporate bond.
